Job Title: “Contract Specialist & Lawyer”

TWI in Azerbaijan is providing Inspection and NDT Services (3rd party Inspection), Consultancy services of Material, Corrosion Engineering, Research and Consultancy, Failure investigation, Structural Integrity assessment, Welding Engineering, Engineering Facilities (Procurement) WPS & PQR, WQT and international training & Certification (www.twi-global.com).
Responsibilities:
1. To provide a high level of support to the Director and Financial Manager;
2. Drafting and negotiation of a variety of contracts (local & international)
3. Review of agreements and evaluates documentation to identify problematic provisions and determine if the minimum requirements are met
4. Identifies contractual issues, develop solutions
5. Reviewing agreements for consistency with laws, government regulations, economic conditions, and company policies
6. Identifies contractual issues, develop solutions
7. Performs other duties as assigned or required
8. Prepare contracts, review the incoming contracts
9. To conduct legal analysis and research on various legal matters
10. To negotiating and draft key documents including legal opinions, memoranda, contracts, power of attorney, correspondence, and other documents
11. To review the legal material and any other relevant documents and to identify the most important issues that need to be sorted out on a priority basis
12. To draw up formalities regarding the settlement of disputes and monitor the implementation of the legal clauses
13. Ensure legal support to Company activities;
14. Review contract terms and conditions and make sure that they comply with state laws and company policies;
15. Take measures to change or cancel the Company’s legal acts, which violate the current legislation;
16. Negotiating on behalf of Company with counterparts;
17. Research, anticipate and guard company against legal risks keeping up to date with changing legislation;
18. Review sales, procurement contracts in English and Azeri version (if it is necessary).
19. Labor contracts review.
20. Consultant to All department ensuring processes and procedures comply with local legislation (payment, bonuses, deduction, migration, HR outsourcing, customs clearance and other required processes).

22. Solicits bids to procure a variety of required goods and services and negotiates and administers contracts.
23. Presents factual information; composes memoranda, minutes and reports; and drafts contract provisions and supporting documents.
24. Having basic knowledge of accounting and HR.
25. Assist management on all related duties.
26. To provide support to ensure are of an appropriately high standard, including proofreading the document, checking spelling, grammar, sense and amendments.
Required skills and experience:
1. Related professional experience of three (3) years working and above.
2. Excellent knowledge of civil law, international and local law
3. “MUST” Excellent oral and written communications skills in English and Azerbaijani languages.
4. Having basic knowledge of accounting and HR.
5. Fully familiar with computer, word, excel, PowerPoint, outlook and internet.
6. Excellent oral and written communication skills and ability to professionally represent the director;
7. Ability to develop and maintain good working relationships at all levels, including during difficult or challenging circumstances;
8. Full time employee.
